The website www.matrixgo.ai and systems, such as Chatbots & AI, Voice & Bots, Matrix ONE and MORPHEUS, which together will be referred to as “Matrix Platforms”, are owned, maintained and operated by MATRIXGO ARTIFICIAL INTELLIGENCE AND SYSTEMS LTDA (“Matrix Go”), registered with the CNPJ under no. 29.061.574/0001-51, with headquarters at Avenida do Contorno, no. 2905, Room 408, Santa Efigênia Neighborhood, Municipality of Belo Horizonte, State of Minas Gerais, CEP-30.110-915.

By accessing or using the Matrix Platforms, the User declares to have read, understood and fully accepted these Terms of Use and other applicable policies.

1. EXPLANATION OF TECHNICAL TERMS OR IN A FOREIGN LANGUAGE

Below are the meanings of technical nomenclatures and terms in the English language.

1. Login: This is the process that allows access to a computer system, controlled through identification and authentication of the User using the credentials provided by that same Internet user.
2. Newsletter: Also called a newsletter, it is a publication regularly distributed to subscribers and which generally addresses a specific topic.
3. Online: An English term whose literal meaning is "online." It is commonly used to designate that a given user of the Internet or another computer network is connected to the network.
4. SaaS: Software as a Service, from the English “Software as a Service”, is a form of distribution and commercialization of systems, through which the supplier is responsible for the entire structure necessary to make the system available and the User uses the software via the internet, paying a fee for the service.
5. Virus: Malicious software that infects systems and computers, with the aim of causing damage, makes copies of itself and tries to spread to other computers, using various means.

SERVICES

1. What we are: Matrix Platforms consist of the set of tools offered by MatrixGo, such as customer service and relationship systems, technical systems (SaaS) and a website for promoting services, informational materials, newsletters and contact with Users.
2. As technical systems, MatrixGo offers Chatbots & AI, Voice & Bots, Matrix ONE, MORPHEUS and WhatsApp Business API, which are technology and innovation solutions that help User companies offer the best experience for their customers.
   1. – Each of these systems has its own functionalities, features, integrations and benefits, which will always be widely disclosed in the advertisements and before you sign up.
   2. – When using the Matrix Platforms, the User must understand and accept that all their actions and choices are free and do not have any type of influence or interference from MatrixGo.
   3. – Users may submit reviews of Matrix Platforms to express their satisfaction, complaints, and opinions. The user submitting the review will be solely responsible for their comments. Reviews and comments whose content MatrixGo deems inappropriate may be deleted without prior notice.
   4. – It is hereby clarified that this service does not establish any employment, corporate or associative relationship between the parties, with each party remaining solely responsible for all their respective expenses and charges, whether of a labor, social security, tax, insurance, civil, criminal or any other nature or type.

  USER REGISTRATION

1. The User must pay fees to use MatrixGo systems, such as Chatbots & AI, Voice & Bots, Matrix ONE, MORPHEUS, and WhatsApp Business API. These fees vary depending on the services and plans chosen and will always be widely disclosed in advertisements before the service is available.
2. Each User will determine their own login and password, and is solely responsible for maintaining the confidentiality of this information. MatrixGo is not responsible for any actions or damages that may be caused by unauthorized access to the account by third parties.
3. Only 1 (one) account per User is permitted.
4. Users are responsible for providing true, accurate and up-to-date information.
5. MatrixGo may refuse, suspend or cancel a User's access account without prior notice whenever it suspects that the information provided is false, incomplete, outdated or inaccurate, or in the cases indicated in applicable laws and regulations, in these Terms of Use or in any Policy.

  PAYMENT FOR USE OF SYSTEMS

1. The User must pay fees to use MatrixGo systems, such as Chatbots & AI, Voice & Bots, Matrix ONE, MORPHEUS, and WhatsApp Business API. These fees vary depending on the services and plans chosen and will always be widely disclosed in advertisements before the service is available.
   
2. Payments must be made via bank slip and credit card.
3. If the User wishes to cancel the services of the MatrixGo Platforms, they must contact cancellation@matrixgo.ai.
   1. – We respect all your rights, including the right to regret and cancel the service with a refund of the total amount paid, within 07 (seven) days, counting from the date of purchase.
   2. – After the period of 07 (seven) days, the User may request cancellation of the service, in which case payment will be due in proportion to the period used, plus a termination fee (if applicable) specified in the contract.
   3. – In the case of cancellation of purchases made via credit card, MatrixGo will request a refund from the administrator within 7 (seven) business days. The refund, that is, the crediting of the amount paid on the next statement, has an estimated time of 30 (thirty) business days, depending on the closing date of the User's credit card statement. MatrixGo is not responsible for other deadlines established by the credit card company.
   4. – In the event of cancellation of purchases made via bank slip, MatrixGo will refund the applicable amounts, by means of a deposit into the User’s current account, within 15 (fifteen) business days of providing such information.
   5. – In the event of account cancellation by MatrixGo, motivated by irregular conduct by the User, MatrixGo may consider any contracted plans terminated, without the right to a refund to the User.
   6. – The User acknowledges that the contract may be automatically renewed at the end of the current period, unless otherwise stated before the renewal date.

  LIABILITY OF THE PARTIES

1. MatrixGo's Responsibility:
   1. – Perform the services as described in these terms of use;
   2. – Be responsible for the operation of the Matrix Platforms and any corrections that may be necessary;
   3. – Inform Users of any changes to services through simple communications on the Matrix Platforms;
2. User Responsibility:
   1. – Use the Matrix Platforms in accordance with the usage criteria defined by MatrixGo, without altering their programming, breaking passwords or performing procedures that may cause harm to MatrixGo, other Users or third parties;
   2. – Be responsible for all purposes, including legal ones, for the content of the information you enter and for the commitments you undertake on the Matrix Platforms;
   3. – Fully respect these Terms of Use, Privacy Policies, current legislation and any contracts between the parties.

  MATRIXGO DISCLAIMER

1. MatrixGo is not responsible for:
   
   1. – Possible unavailability of the Matrix Platforms, for which you have no cause.
   2. – User Conduct and failure to comply with their obligations.
   3. – Insertion of false information by Users;
   4. – Damages that the User may experience due to the exclusive actions of third parties, as well as network connection failures and malicious interactions such as viruses.
   5. – Damages that the User may suffer as a result of the misuse of the Matrix Platforms in non-compliance with these Terms, the Privacy Policy, the law or court orders.
   6. – Acts of God or force majeure.
   7. – Under no circumstances will MatrixGo be liable for indirect, incidental, special, punitive or consequential damages, including, but not limited to, loss of profits, revenue, data or use, incurred by the User or third parties.

  RULES OF CONDUCT AND PROHIBITIONS

1. Users may not:
   1. – Harm the rights of MatrixGo, the operators of the Matrix Platforms, other Users, third parties or act in any way or form that may contribute to such violation;
   2. – Perform acts that limit or prevent the use of tools or illegally access Matrix Platforms;
   3. – Use the tools to carry out illegal actions and disseminate messages unrelated to the Matrix Platforms or their purposes, including messages with inappropriate content;
   4. – Enter data that is false, outdated or incomplete;
   5. – Act fraudulently and/or use MatrixGo content, information and newsletters for commercial purposes or unfair competition;
2. At the sign of any breach of conduct, the User may be blocked or excluded from the Matrix Platforms, without prior notice.

  INTELLECTUAL PROPERTY

1. Ownership and rights to the Matrix Platforms and the materials produced, such as blog content and newsletters, belong exclusively to MatrixGo. Access to the Matrix Platforms and their regular use by the User do not grant the User any right or prerogative over the intellectual property or other content contained therein.
2. All content on the Matrix Platforms, including name, brand, domain, programs, databases, files, texts, drawings, photos, layouts, headers, newsletters, videos and other elements, was created, developed or assigned to MatrixGo, and is therefore the exclusive property of MatrixGo or licensed to it and is protected by Brazilian laws and international treaties that address intellectual property rights.
3. The following are prohibited: exploitation for commercial purposes, assignment, imitation, copying, plagiarism, application of reverse engineering, attempted invasion (hacking), storage, alteration, modification of characteristics, expansion, sale, rental, donation, alienation, transfer, reproduction, in whole or in part, of any content of the Matrix Platforms.
4. Any person who violates the prohibitions contained in intellectual property legislation and these Terms will be held civilly and criminally liable for the violations committed, in addition to being subject to penalties on the platform.

• PERSONAL DATA PROCESSING, PRIVACY AND SECURITY

Matrix Platforms has a specific policy regulating the collection, storage, and processing of personal data, as well as its security: Privacy Policy. This specific policy is an integral part of these Terms.

For Users who need it, a version of these Terms may be made available in an accessible format, upon request through the contact channel.

  DEVELOPMENTS OF ACCESS TO PLATFORMS

1. Despite MatrixGo's best efforts to provide the best technologies to maintain online connection and synchronization, and secure access for Users, due to technical difficulties, internet applications, or transmission issues, inaccurate or incomplete copies of the information contained on the Matrix Platforms may occur. Furthermore, computer viruses or other harmful programs may also be inadvertently downloaded from the platforms.
2. MatrixGo recommends installing appropriate antivirus or protection.
3. MatrixGo reserves the right to unilaterally modify the Matrix Platforms, as well as the configuration, presentation, design, content, functionalities, tools or any other element, including their cancellation.

  CHANGES TO THE TERMS AND CONDITIONS OF USE

1. MatrixGo may unilaterally add and/or modify any clause contained in these Terms of Use. The updated version will apply to all use of the Matrix Platforms from the date of its publication. Continued access or use of the platforms after publication will confirm the validity of the new Terms of Use by Users.
2. If the change made requires the User's consent, the option to freely, unequivocally and informedly accept the new text or reject it will be presented.
3. If the User does not agree to the change, they may refuse to provide consent for specific acts or may terminate their relationship with MatrixGo entirely. This termination will not, however, exempt the User from complying with all obligations assumed under the previous versions of the Terms of Use.

  APPLICABLE LAW AND JURISDICTION

1. The Matrix Platforms are controlled, operated and managed in the city of Belo Horizonte, State of Minas Gerais, Brazil, and can be accessed by any device connected to the Internet, regardless of its geographic location.
2. MatrixGo makes no representation that the Matrix Platforms are appropriate or available for use in other locations. Those accessing or using the platforms from other jurisdictions do so at their own risk and are responsible for compliance with regional/national laws.
3. The User agrees that the applicable legislation for the purposes of these Terms and Conditions of Use and Privacy Policies will be that in force in the Federative Republic of Brazil.
4. MatrixGo and the User agree that the Court of Belo Horizonte, State of Minas Gerais, Brazil, will be the only competent court to resolve any issue or controversy arising from or resulting from the use of the Matrix Platforms, expressly waiving any other, however privileged it may be, or may become.
